The said section provides the KMP of a company means:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><a href=\"https:\/\/www.cagmc.com\/director-appointment-under-the-companies-act-2013\/\" target=\"_blank\" rel=\"noopener\"><b>Managing Director (MD):<\/b><\/a><span style=\"font-weight: 400;\">In the management system, the chief executive officer is in the highest position of the company, which is also known as MD.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Chief Financial Officer (CFO):<\/b><span style=\"font-weight: 400;\">The Company\u2019s financial performance is planning, compliance with financial regulations and reporting, looked after by the CFO.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Chief Executive Officer (CEO):<\/b><span style=\"font-weight: 400;\">The Company\u2019s major corporate decisions have been taken by the CEO. Such as to make sure about the company\u2019s profit and development, along with overall operations.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Company Secretary (CS):<\/b><span style=\"font-weight: 400;\">The Company\u2019s legal compliances and regulatory framework are looked after by the CS. Along with that the CS will maintain records, and make connections between the shareholders and the board of directors.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Whole-time Director: <\/b><span style=\"font-weight: 400;\">The whole-time director is full-time employment by the company and they are involved in daily activities and management.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any other officer as may be prescribed.<\/span><\/li>\n<\/ul>\n<h2 id=\"companies\" style=\"text-align: justify;\"><b>Companies Required to Appoint Key Managerial Personnel<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">As per the <\/span><a href=\"https:\/\/www.mca.gov.in\/Ministry\/pdf\/CompaniesAct2013.pdf\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Companies Act, 2013,<\/span><\/a><span style=\"font-weight: 400;\"> the provisions of Section 203 of the Act read with Rule 8 of the Companies Rules, 2014(Appointment and Remuneration of Managerial Personnel), give the following types of companies are generally required to appoint KMP:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Listed Companies, whose securities are listed on a stock exchange.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">All public and private companies, regardless of whether they are listed or not. They have a paid-up share capital of Rs 10 Crore or more.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Large Companies are specified in the Companies Act, 2013.<\/span><\/li>\n<\/ul>\n<h2 id=\"manner\" style=\"text-align: justify;\"><b>Manner of Appointment of Key Managerial Personnel under the Companies Act, 2013<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The general manner of <\/span><b>Appointment of KMP in the Companies Act<\/b><span style=\"font-weight: 400;\">is as:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Board Approval:<\/b><span style=\"font-weight: 400;\">The board of directors has appointed the KMP in the company. For the position of KMP, the candidates are selected based on experience, qualifications, and experience.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Selection Committee:<\/b><span style=\"font-weight: 400;\"> In certain cases, the board has constituted a selection committee to assist in the process of selection and identifying the appropriate candidates for KMP positions.
