Such Dividend is declared by the Board of Directors in between two Annual General Meetings. Before declaration and payment of Interim Dividend, it is advisable to take an opinion of Company\u2019s Auditor as Interim Dividend is paid before Final Accounts of the company is prepared and finalized.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Unlike <a href=\"https:\/\/www.investopedia.com\/terms\/f\/finaldividend.asp\" target=\"_blank\" rel=\"noopener\">Final Dividend<\/a>, Interim Dividend can be paid multiple times in a Financial Year. Most companies follow a practice of paying such Dividends either quarterly or on half-yearly basis. The rate of Interim Dividend is generally lower than that of Final Dividend. The Board of directors have the authority to declare and pay Interim Dividend but on the other hand Shareholders of the company have the power to revoke the decision of the Board and refuse the payment of Interim Dividend. Interim Dividend is usually declared by the Board of Directors when the company has sufficient earnings higher than expected.<\/span><\/p>\n<h2 style=\"text-align: justify;\"><b>Features of Interim Dividend<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Some of the features of Interim Dividend are as follows:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><b>Declared by the Board-<\/b><span style=\"font-weight: 400;\"> The authority of declaration and payment of Interim Dividend rests with the Board of Directors only and no interference of shareholders must be there.<\/span><\/li>\n<li><b>Articles shall authorize- <\/b><span style=\"font-weight: 400;\">Articles of Association of the company shall authorize Board for declaration of Interim Dividend. If Articles do not authorize then, it needs to get altered before declaration of same.<\/span><\/li>\n<li><b>Pass Board Resolution-<\/b><span style=\"font-weight: 400;\"> The Board of Directors shall pass Board Resolution in the Board meeting convened to declare Interim Dividend.<\/span><\/li>\n<li><b>Free Reserves-<\/b><span style=\"font-weight: 400;\"> The Interim Dividend cannot be paid out of Free Reserves.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\"><strong>Provide Depreciation-<\/strong> Before declaring Interim Dividend, the company shall provide depreciation for full year not for partial\/proportionate year.<\/span><\/li>\n<li aria-level=\"1\"><b>Time period-<\/b><span style=\"font-weight: 400;\"> Within 30 days of declaration of dividend, it shall be paid to the shareholders.<\/span><\/li>\n<li aria-level=\"1\"><b>Transfer to Unpaid Dividend Account-<\/b><span style=\"font-weight: 400;\"> If dividend remains unclaimed or unpaid within seven days of expiry of thirty days of declaration, then such amount shall be transferred to \u201cUnpaid Dividend Account\u201d.<\/span><\/li>\n<li aria-level=\"1\"><b>Transfer to IEPF-<\/b><span style=\"font-weight: 400;\"> If Dividend remains unclaimed for seven years, then such dividend shall be transferred to Investor Education and Protection fund.<\/span><\/li>\n<li aria-level=\"1\"><b>Separate Bank Account-<\/b><span style=\"font-weight: 400;\"> Within five days of declaration of Dividend, the amount to be given as a Dividend shall be transferred to a separate Bank Account.\u00a0 <\/span><\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Sources of distribution of Interim Dividend<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Amount of Interim Dividend shall be paid out of:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-weight: 400;\">Surplus in profit and loss account.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Profit of current Financial Year for which such Interim Dividend is paid.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Profit generated in the Financial Year preceding the Quarter in which such Dividend is declared.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Usually, Interim Dividend are paid out of retained earnings which already includes the undistributed profits of Previous Financial Years. Till the end of the quarter immediately preceding the date of declaration of Interim Dividend if the company has incurred loss, then the rate of dividend on such shares shall not be higher than the average rate of dividend during the immediately preceding three Financial Year. <\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">While declaring Interim Dividend, the Board of Directors shall take into consideration-<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-weight: 400;\">Depreciation of whole year<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Tax including deferred tax of the company of whole year<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Losses which are anticipated for Financial Year<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Fixed rate of Dividend that is required to be paid on preference shares<\/span><\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Difference between Interim and Final Dividend<\/b><\/h2>\n<table>\n<tbody>\n<tr>\n<td><\/td>\n<td><b>Interim Dividend<\/b><\/td>\n<td><b>Final Dividend<\/b><\/td>\n<\/tr>\n<tr>\n<td><span style=\"font-weight: 400;\">1.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It shall be declared and paid by the Board of Directors of the company.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It is recommended by the Board of Directors and declared by the Shareholders.<\/span><\/td>\n<\/tr>\n<tr>\n<td><span style=\"font-weight: 400;\">2.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It shall be declared at any time before closure of Financial Year.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It is declared in the Annual General Meeting at the end of the Year.<\/span><\/td>\n<\/tr>\n<tr>\n<td><span style=\"font-weight: 400;\">3.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It is declared before the preparation of final accounts.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">It is declared after preparation of final accounts.<\/span><\/td>\n<\/tr>\n<tr>\n<td><span style=\"font-weight: 400;\">4.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">Authorization of Articles of association is required for the declaration of payment of Interim Dividend.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">No such authorization is required in the Articles for payment of Final Dividend.<\/span><\/td>\n<\/tr>\n<tr>\n<td><span style=\"font-weight: 400;\">5.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">Board Resolution shall be passed in the Board Meeting for the payment of Interim Dividend.<\/span><\/td>\n<td><span style=\"font-weight: 400;\">At the AGM of the company, Ordinary Resolution shall be passed for declaring Final Dividend.<\/span><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h2 style=\"text-align: justify;\"><b>Procedure of declaration and payment of Interim Dividend<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The procedure that is required to be follow for the declaration and payment of dividend are as follows:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span style=\"font-weight: 400;\">At least seven days\u2019 notice of Board meeting shall be issued to each and every director of the company to call a Board Meeting for a purpose of declaration of Interim Dividend.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Board meeting shall be convened and consideration of all matters related to payment of Interim Dividend shall take place and it also includes:<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">Ascertainment of financial position of the company<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Amount of dividend to be declared<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Fixation of record date<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Opening of bank account for the purpose of transferring dividend<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Printing and granting authority for signing dividend warrants<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Pass Board Resolution for declaration and payment of Dividend.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n<li><span style=\"font-weight: 400;\">After passing Board resolution, separate Bank Account needs to be opened with the scheduled bank.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Deposit the amount of Dividend payable in that account within five working days of declaration of such dividend.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">The dividend shall be paid to the registered shareholders or the banker within thirty days of declaration of dividend.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">If amount of Dividend remains unclaimed or unpaid then such amount shall be transferred to the \u201cUnpaid Dividend Account\u201d within seven days of expiration of thirty days of declaration of such dividend.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Within a period of ninety days of making any transfer in \u201cUnpaid Dividend Account\u201d, the company shall prepare a statement containing names, address, etc and also place it on a website, if any<\/span><\/li>\n<li><span style=\"font-weight: 400;\">If any person desires to claim his amount of dividend from Unpaid Dividend account, then such person have to apply in Form IEPF-5 to the company.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">After the expiry of seven years from the date of transfer of dividend to \u201cUnpaid Dividend Account\u201d such unclaimed dividend shall be transferred to Investor Education and Protection Fund.<\/span><\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Wrapping up<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The Interim Dividend shall be declared by the Board of Directors before finalisation of Annual accounts. It is also considered as debt of the company, that once declared it cannot be revoked. The board of directors shall analyse the financial position of the company before declaring any sort of Interim Dividend and such dividend shall be paid out of surplus in profit and loss account of the company.
