border: 1px solid #ddd; text-align: left; font-size: 16px;\" colspan=\"3\">1188000<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p style=\"text-align: justify;\">NSE and BSE both vide\u00a0Circular Ref No: NSE\/CML\/2020\/53\u00a0and notice no. 20201106-39 dated 06.11.2020, respectively has issued circular stating\u00a0<strong>Action(s) to be initiated against listed companies for non-payment of outstanding <a href=\"https:\/\/www.bseindia.com\/Static\/about\/listing_fees.aspx?expandable=0\" target=\"_blank\" rel=\"noopener\">Annual Listing Fees<\/a> (\u201cALF\u201d) for Financial Year 2020-21.<\/strong><\/p>\n<p style=\"text-align: justify;\">This Circular has been issued to:<\/p>\n<ul style=\"text-align: justify;\">\n<li>The Company Secretary\/Compliance Officer<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">(To all Companies who have not paid Annual Listing Fees)<\/p>\n<p style=\"text-align: justify;\">The following action shall be taken if a listed company\u00a0(being Defaulted Company)\u00a0fail to pay the outstanding ALF (including the listing fee for Financial Year 2020-21)\u00a0on or before November 20, 2020, in the manner mentioned below:<\/p>\n<p style=\"text-align: justify;\">Action w.e.f. November 23, 2020:<\/p>\n<table style=\"border: 1px solid #ddd; text-align: left; margin-top: 1px; margin-bottom: 10px;\" width=\"100%\">\n<tbody>\n<tr>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">NSE<\/td>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">BSE<\/td>\n<\/tr>\n<tr>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">The name of the defaulting companies shall be displayed on the Exchange website.<\/td>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">The names of the defaulting companies shall be displayed on the website of BSE Limited on a separate page to highlight the Companies\u2019 failure to pay the ALF.<\/td>\n<\/tr>\n<tr>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">\u00a0On the company\u2019s individual get quote page on the Exchange website, a message shall be displayed saying, \u201cCompany has not paid Annual Listing Fees and is in violation of SEBI Regulations &amp; Exchange Requirements\u201d<\/td>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">On the defaulting companies\u2019 individual stock reach page on the website of the Exchange, a message shall be displayed stating that, \u201cCompany has not paid Annual Listing Fees and is in violation of SEBI Regulations &amp; Exchange Requirements.\u201d<\/td>\n<\/tr>\n<tr>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">\u00a0On the submission portal, whenever company logs in for submitting disclosures, a similar message would be displayed.<\/td>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">\u00a0A similar message will also be displayed as a running ticker on the electronic portal of the Exchange, whenever the defaulting companies will log in for submitting disclosures.<\/td>\n<\/tr>\n<tr id=\"points\">\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">\u00a0The equity shares of the company shall be moved from Normal Rolling Segment (Series: EQ) to Trade to Trade Segment (Series: BE). A notice to this effect will also be issued to all market participants.<\/td>\n<td style=\"padding: 9px; border: 1px solid #ddd; text-align: left; font-size: 16px;\">The equity shares of the defaulting companies shall be moved from Normal Trading to Trade to Trade segment (i.e. gross settlement) for which a 7 days\u2019 notice will also be issued to all the market participants.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h3 style=\"text-align: justify;\"><strong>Key points:<\/strong><\/h3>\n<ul style=\"text-align: justify;\">\n<li id=\"measures\">It may be noted that the aforesaid action(s) are initial in nature and same does not preclude the Exchange from taking further stringent action(s) against the defaulting companies as notified by the Exchange from time to time.<\/li>\n<li>Above action would also apply to Small and Medium Enterprises (SME) companies listed on the Exchange who have defaulted in paying ALF for Financial Year 2020- 21<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\"><strong>The measures listed above, would not apply to the following (exclusions):<\/strong><\/h3>\n<ul>\n<li style=\"text-align: justify;\">Public Sector Undertaking (PSU) companies<\/li>\n<li style=\"text-align: justify;\">Companies who have been admitted by Honourable\u00a0National Company Law Tribunal (NCLT)under the Insolvency and Bankruptcy Code.<\/li>\n<li style=\"text-align: justify;\">Companies that have only Debt\/Mutual Funds listed on the Exchange.<\/li>\n<li style=\"text-align: justify;\">Tax deducted at source (<a href=\"https:\/\/www.cagmc.com\/tds-returns\/\">TDS<\/a>)\u00a0would be excluded for computation of the total outstanding amount ALF.<\/li>\n<li style=\"text-align: justify;\">In case the company is commonly listed i.e. on more than one Stock Exchange, actions such as transfer to Trade to Trade segment and reversal of these actions shall done in coordination by the Exchanges where the company is listed.<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Table of Content What is an annual listing fee?
